Terms of Service

Effective date: [Effective date]

Last updated:

This page is a draft. A few company details are still being filled in.

These terms are an agreement between you and [Company] ("we", "us") for your use of FilesAll at filesall.com (the "Service"). By using the Service you agree to them. If you do not agree, do not use the Service.

1. What the Service does

FilesAll lets you compress, convert, organize and sign files, save the audio from your own videos as MP3, and copy text from scans and photos. All file processing happens inside your web browser on your own device. Your files are never uploaded to us, and we cannot see, read or store them.

2. Who can use it

You must be at least 13 years old, or the minimum age to consent to online services where you live if that is higher. If you use the Service for an organization, you confirm you are allowed to accept these terms for it.

3. Accounts

You can use the Service as a guest or create a free account with Google or an email sign-in link. A sign-in lasts 30 days from your last visit, unless you sign out. Keep access to your Google account and email secure; you are responsible for activity under your account. Tell us at [support email] if you believe your account has been misused.

4. Plans and limits

We may change limits and features with notice on the site. Changes to a paid plan you already hold take effect at your next renewal.

Ads for extra files. Extra files from watching an ad are a free bonus, not a purchase. Ads play on a separate page run with our ad partners, who may collect information as our Privacy Policy and Cookie Policy describe. We cap how many ads count each day, and an ad may not always be available. Ad content comes from advertisers, not from us, and we do not endorse it.

5. Payments and renewals

Pro is sold through Lemon Squeezy, which acts as the seller of record and handles payment, sales tax and invoices; its buyer terms also apply to your purchase. Pro renews automatically each month or year until you cancel. You can cancel any time from your account; you keep Pro until the end of the period you paid for. Refunds are covered by our Refund Policy.

6. Your files and content

You keep all rights to your files. Because processing happens on your device, we never receive them and claim no rights to them. You are responsible for having the right to process, convert and sign the files you use, including any music or video, and for keeping your own copies. A browser tab can crash, so do not rely on the Service as your only copy of anything.

7. Electronic signatures

The Sign tool creates simple electronic signatures: a typed or drawn signature placed on a PDF. Simple electronic signatures are accepted for many documents, but not for all; some documents legally require a handwritten, witnessed, notarized or certificate-based signature. We do not verify anyone's identity. You are responsible for deciding whether a simple electronic signature is suitable for your document and for signing only as yourself or with authority.

8. Acceptable use

You agree not to:

We may suspend or close accounts that break these rules.

9. Our rights

The Service, its design, code and brand belong to [Company] and its licensors. Open-source components are used under their own licenses. These terms give you a personal, non-transferable right to use the Service, nothing more.

10. Third-party services

We rely on providers such as Google (sign-in and ads), Lemon Squeezy (payments), Cloudflare (hosting and security), Supabase (accounts database), Resend (sign-in emails) and AppLixir (ads). Their services are governed by their own terms.

11. Disclaimers

The Service is provided "as is" and "as available". We work to make it reliable, but we do not promise it will be error-free or uninterrupted, or that every file will process correctly. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

12. Limitation of liability

To the extent the law allows, [Company] is not liable for indirect, incidental, special or consequential damages, or for lost data, profits or business. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or US $50. Some places do not allow these limits, so they may not apply to you, and nothing here limits rights you have under consumer protection law, including in Quebec.

13. Indemnity

If you use the Service for business and your misuse of it causes a claim against us, you agree to cover our reasonable costs of that claim.

14. Ending use

You can stop using the Service and delete your account at any time. We may suspend or end access if you break these terms or if we stop offering the Service; if we stop offering a paid plan, we will refund the unused part.

15. Changes to these terms

We may update these terms. We will post the new version with a new effective date and, for significant changes, email account holders at least 14 days before they apply.

16. Governing law

These terms are governed by the laws of [State], USA, without regard to conflict-of-law rules. If you are a consumer in Canada or elsewhere, you keep any protections your local law gives you, and you may bring claims in your local courts where the law allows.

17. Language

These terms are available in English and French. If you live in Quebec, the French version applies and you have chosen to receive these terms in French unless you ask for English.
